Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ChapChap Digital Commerce Limited ("ChapChap," "we," "us," or "our") governing your access to and use of the ChapChap e-commerce platform, including our website at https://chapchap.com.ng.ng and mobile applications (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.

Eligibility

To use ChapChap, you must:

Be at least 18 years old or have parental/guardian consent
Have the legal capacity to enter into a binding contract
Provide accurate, current, and complete information during registration
Reside in Nigeria or a region where our services are available
Comply with all applicable laws and regulations

We reserve the right to refuse service, terminate accounts, or cancel orders at our discretion, especially if we suspect fraudulent activity or violation of these Terms.

Account Registration and Security

Creating an Account

To access certain features, you must create an account by providing:

Full name
Valid email address or phone number
Secure password
Delivery address

Account Responsibilities

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach
Ensuring your account information is accurate and up-to-date

Orders and Payments

Placing Orders

All orders are subject to acceptance and availability
We reserve the right to refuse or cancel any order for any reason, including pricing errors, product unavailability, or suspected fraud
Order confirmation does not guarantee product availability; we will notify you if items are out of stock
You are responsible for providing accurate delivery information

Pricing and Payment

All prices are displayed in Nigerian Naira (₦) and include applicable taxes unless stated otherwise
Prices are subject to change without notice, but changes will not affect orders already placed
We accept payments via credit/debit cards, bank transfers, and other payment methods displayed at checkout
Payment must be completed before order processing begins
We use secure third-party payment processors (Paystack, Flutterwave, etc.) and do not store your full payment card details

Delivery Fees

Delivery fees are calculated based on your location, order value, and delivery speed. Free delivery may be offered for orders above a certain threshold or during promotional periods.

We strive for ultra-fast delivery within minutes to hours, depending on your location and product availability. Estimated delivery times are provided at checkout.

We currently serve Kano City and surrounding areas. Delivery availability is subject to your location.

Delivery Terms

You must be available to receive the delivery at the specified address
If you are unavailable, our delivery partner will attempt to contact you; additional delivery fees may apply for re-delivery
You must verify the order contents upon delivery and report any discrepancies immediately
We are not responsible for delays caused by incorrect addresses, weather conditions, or circumstances beyond our control
Signature or OTP verification may be required for high-value orders

Returns, Refunds, and Cancellations

Return Policy

We accept returns for the following reasons:

Damaged or Defective Products: Report within 24 hours of delivery with photos
Wrong Items Delivered: Report immediately upon delivery
Expired or Near-Expiry Products: Report within 24 hours with proof

Non-Returnable Items

Perishable goods (fresh produce, dairy, meat) unless defective
Personal care items that have been opened or used
Items marked as "non-returnable" at the time of purchase

Refund Process

Approved refunds will be processed within 7-14 business days to your original payment method or ChapChap wallet. Delivery fees are non-refundable unless the error was on our part.

Order Cancellation

You may cancel an order before it is dispatched for delivery
Once dispatched, cancellations are not permitted, but you may refuse delivery and request a refund
We reserve the right to cancel orders due to pricing errors, product unavailability, or suspected fraud

Prohibited Activities

You agree NOT to:

Use the Platform for any illegal, fraudulent, or unauthorized purpose

Violate any applicable laws, regulations, or third-party rights

Impersonate any person or entity, or falsely state or misrepresent your affiliation

✗

Interfere with or disrupt the Platform's operation or servers

Attempt to gain unauthorized access to any part of the Platform

✗

Use automated systems (bots, scrapers) to access the Platform without permission

✗

Post or transmit harmful, offensive, or inappropriate content

✗

Engage in price manipulation, fake reviews, or other deceptive practices

Violation of these terms may result in: Account suspension or termination, legal action, and reporting to law enforcement authorities.

Intellectual Property Rights

All content on the Platform, including but not limited to text, graphics, logos, images, videos, software, and trademarks, is the property of ChapChap or its licensors and is protected by Nigerian and international intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works from any content on the Platform without our prior written consent.

User-Generated Content

You may submit reviews, ratings, feedback, and other content ("User Content") on the Platform. By submitting User Content, you grant ChapChap a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, and distribute your content for promotional and operational purposes.

You represent that your User Content does not violate any third-party rights and complies with these Terms. We reserve the right to remove any User Content that violates our policies or is deemed inappropriate.

Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability, fitness for a particular purpose, or non-infringement
Guarantees of uninterrupted, error-free, or secure operation
Accuracy, reliability, or completeness of content or product descriptions

We do not guarantee that the Platform will meet your requirements or that defects will be corrected. Use of the Platform is at your own risk.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHAPCHAP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages arising from your use or inability to use the Platform
Damages resulting from third-party products, services, or content

Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to ChapChap in the 12 months preceding the claim, or ₦10,000, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless ChapChap and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

Your violation of these Terms
Your use or misuse of the Platform
Your violation of any third-party rights
Your User Content or any content you submit

Dispute Resolution and Governing Law

Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Nigeria.

Dispute Resolution

In the event of a dispute, we encourage you to contact us first at support@chapchap.com.ng.ng to seek an amicable resolution.

If the dispute cannot be resolved informally, you agree to submit to binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria, before resorting to litigation.

Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including:

Violation of these Terms
Fraudulent, abusive, or illegal activity
Prolonged inactivity
At your request

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination (e.g., indemnification, limitation of liability) will remain in effect.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or Platform features. We will notify you of significant changes by posting the updated Terms on this page with a new "Last Updated" date and, where appropriate, by sending an email notification.

Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ChapChap regarding your use of the Platform and supersede all prior agreements and understandings.
